§822. Certificate of limited liability partnership
1.
Certificate of limited liability partnership.
In order to register a limited liability partnership, a certificate of limited liability partnership must be filed with the Secretary of State. The certificate must set forth:
A.
The name of the registered limited liability partnership;

B.
The information required by Title 5, section 105, subsection 1;

C.
The name and the business, residence or mailing address of the contact partner;

C-1.
The street address of the partnership's chief executive office and, if different, the street address of an office in the State, if any; and

D.
Any other matters the partners determine to include in the certificate.

2.
Effective date.
A partnership becomes a registered limited liability partnership at the time of the filing of the initial certificate of limited liability partnership with the Secretary of State if there has been substantial compliance with the requirements of this section.

3.
Errors; later changes.
The status of a partnership as a limited liability partnership and the liability of its partners is not affected by errors or later changes in the information required to be contained in the certificate under subsection 1.
